Windows 7 64 First boot lock up

Hi,
I have E5200 overclocked to 3.3ghz on a Gigabyte EP43-DS3 MB. Everytime I boot windows 7 it locks up while booting the first time, but on reseting and saying ignore error and boot it works fine, and will pass prime tests, and not crash.

I have had the chip clocked higher previously and stable, and when I have no overclock it boots fine.

Any ideas as I am stumped?

Hi

Did the crashing occur prior to overclocking? (As in did the crashing only occur after the first time you overclocked).
If it did the CPU is unlikely to be in error.
I would suggest running MEMTEST from a boot CD (just download and burn this iso using any CD burning software)
http://www.memtest.org/download/4.00/memtest86+-4.00.iso.zip

This will determine if your memory could be faulty. (A common cause for weird problems like this that don't make logical sense at first).
