That will fit yes. Your PC uses the 775 Socket. The heatsink will come with adapters so be sure to select the correct ones. Should be pretty obvious though. Ensure the package you buy comes with some new thermal paste as you will have to replace the old stuff when you remove the current one.
 
Socket refers to the CPU socket so it depends on what CPU your system has as to which coolers will fit.

Generally fans are cheaper than heatsinks (which are copper/aluminium for heat conductivity) so most OEM systems tend to be built with a good fan and a small heatsink. So while replacing the fan is often much easier and cheaper there's also a limited amount of benefit you're going to see. Perhaps your best bet in that department is trying to find an adapter and fit a larger fan, as they can spin slower (and more quietly) for the same amount of airflow.
