Thats seems fine I would use 2 hd's though if you can fit an extra one in the case 1 for the System one for videos etc.
AMD 64 939 excellent CPU run very cool and can overclock quite well if needed.
I would go for the PVR-350 instead or NVTV card.

Am I going to have any problems getting 5.1 out of AC97?

get 2 x 256MB DDR400 rather than 1 x 512MB module - this will allow you to run the board in dual channel mode.
I think with the hipermedia you need to by a PCI riser (it comes with and AGP riser) and a heatsink.
The only thing that worried me about the hipermedia case when I was looking is that there is only one heatsink available, and I wasn't clear how quiet it would be; especially as it's very slimine; oh and you can only fit one HDD in the case.

Hope to use Cool & Quiet if it doesn't make any issues.

I think that I mentioned this in another post when the Hauppauge WinTV PVR350 was recommended but it's not worth the extra money versus a PVR 250 (which you have in any case:). The 350 is a 250 with a hardware MPEG2 decoder & TV out. However these features are not used or supported in MCE. The PVR250 has been aon the market for a few years now, has decent quality & has lots of support from other PVR applications if you get fed up with MCE:)

Also 2 sticks of memory will use more volltage check with the wattage checker before making all your purchases as the PSU may not hanlde all your components.
PVR-350 also has radio tuner where the PVR-250 doesn't but if you already have the card go with that it has same chipset as the PVR-350.
