There are no legal implications whatsoever if you do this. Your contract with O2 is for airtime provision and has nothing to do with your phone at all - that's yours to do with as you please as soon as you have bought it (See paragraph 2.4 of the Equipment Agreement section of
the standard O2 airtime agreement).

Insurance is a separate issue. If you have it with O2 then a) you're mad

(you can get it *much* cheaper elsewhere, and it's also arguable whether it is even worth it in the firstplace) and b) even though it may be paid along with your phone contract it is actually separate from it. All you'll probably need to do is inform your insurer (whether that's O2 or whoever else) that you have a new phone and tell them the new IMEI. In most cases they can simply update their records and that's it, sometimes changing phone will increase the monthly charge (if it's worth considerably more than the phone you originally insured) - contact your insurer to find out for sure though.
